**UNBOTHERED COLLECTIVE TERMS OF SERVICE**
Thank you for purchasing MEMBERSHIP for THE UNBOTHERED COLLECTIVE (“Product”). All sales are final for this product. Upon being approved for this program, and clicking “Buy Now,” “Complete Order,” or any other phrase on the purchase button, entering your credit card information, or otherwise rendering payment (either in full or partial) for the product for which these terms appear ("Product," “Membership,” and/or “Program”), you (“Client” and/or “Customer”) agree to be provided with products, programs, or services by DR. SHILOH WERKMEISTER ("Owner") in her capacity as owner of INTEGRATIVE CONNECTIONS COUNSELING LLC (“Company”), and you are executing a legally binding agreement with the Company, subject to the following terms and conditions:
**INTRODUCTION**
INTEGRATIVE CONNECTIONS COUNSELING LLC (“Company”) is a company that provides educational services and consulting, with an emphasis on mental health and wellness. Company has created THE UNBOTHERED COLLECTIVE ("Product") to educate Customer and create a container for on-going support, including group coaching, recorded trainings, and other aspects that help individuals build a boundaries structure that increases peace and mental stability. The Product is an 6-module course including videos, a group calls, and with tiered access for individual optimization through the Kajabi platform.
**Role of Dr. Shiloh**
While Dr. Shiloh is a licensed mental health professional in the state of Missouri, not all states and countries honor the Counseling Compact. Therefore, for the purposes of this membership, Dr. Shiloh will function in the role of a consultant. The advice and information provided within the UNBOTHERED COLLECTIVE are for educational and support purposes only and do not constitute professional therapy or counseling services.
**1. Program Understanding**
1.1 UNBOTHERED COLLECTIVE is a group program designed to provide support, education, and a sense of community specifically for working and professional moms. Participation includes access to live sessions, which will be recorded and made available for program-related purposes such as replays and continued learning.
1.2 To protect the integrity of the space, all members are expected to maintain confidentiality. Personal information, stories, or experiences shared by others during the program must not be disclosed outside the group. This commitment to privacy helps create a safe and supportive environment for every participant.
1.3 Respect is foundational to this community. Members are expected to engage with one another in a kind, respectful, and thoughtful manner, honoring the diversity of backgrounds, perspectives, and lived experiences represented in the group.
**2. TERM & TERMINATION**
2.1 Term
These Terms of Service shall remain in full force and effect while you are enrolled in the program, have access to the course materials, or are otherwise engaging with Dr. Shiloh Speaks content and services related to the UNBOTHERED COLLECTIVE.
2.2 Termination by You
You may terminate your participation in the program at any time by emailing [email protected]. However, termination does not entitle you to a refund unless you are within the applicable refund window as outlined in the Refund Policy.
2.3 Termination by Us
We reserve the right to terminate your access to the program and its materials without notice if, in our sole discretion, you violate these Terms of Service, engage in disruptive or abusive behavior in live sessions or communities, or misuse course content.
2.4 Effect of Termination
Upon termination, your access to all program materials, private community spaces, live calls, and support will be revoked. No refunds will be provided beyond the outlined refund policy. Any remaining payment obligations (if you are on a payment plan) will still be due, unless otherwise agreed upon in writing.
2.5 Survival
Sections of this agreement that by their nature should survive termination (including but not limited to intellectual property, payment obligations, disclaimers, and limitations of liability) shall survive any termination or expiration of these terms.
3.1 No Professional Relationship
The Company is not acting as an employee, manager, attorney, accountant, psychiatrist, psychologist, therapist, doctor, counselor, financial advisor, or any other professional capacity for the Customer. Enrollment in THE UNBOTHERED COLLECTIVE does not create a therapeutic, legal, medical, or financial advisory relationship.
3.2 Educational Purpose Only
The Program is intended solely for general educational and informational purposes. It is designed to help participants learn new skills, explore mindset and wellness practices, and receive support in their personal growth journey. The Company may offer guidance, but it is the Customer’s sole responsibility to evaluate and make decisions that best suit their individual needs.
3.3 Assumption of Risk
By participating in the Program, the Customer acknowledges and voluntarily accepts any and all risks, whether foreseeable or unforeseeable, that may arise from the use or misuse of program content. The Customer agrees that the Company shall not be held liable for any direct or indirect damages, losses, or consequences related to Program participation.
3.4 Subjective Nature of Services
The Customer understands that mental wellness consulting and coaching are inherently subjective. The Company reserves the right to deliver content and support using its own professional judgment, methods, and techniques—even if they do not strictly align with individual participant preferences or expectations.
3.5 What the Program Does Not Include
This MEMBERSHIP does not include:

(a) Individual counseling or psychotherapy

(b) Mental health diagnosis, treatment planning, or prescription services

(c) Legal, financial, or medical advice

(d) Consultations with third parties (e.g., family members, employers, etc.)

(e) Business management or operations consulting
-
(f) Access to or introductions within the Company’s personal or professional network
3.6 Responsibility for Outcomes
The Customer acknowledges that any results achieved through the Program depend on their own level of commitment, effort, and follow-through. The Company does not guarantee any particular outcome, mental health status, or lifestyle change. The Customer agrees to release and indemnify the Company from any and all liability arising from decisions made or actions taken based on participation in the Program.
**4. PROGRAM SPECIFICS**
4.1 Program Overview
THE UNBOTHERED COLLECTIVE is a monthly membership designed to help participants build healthier boundaries, regulate their emotions, and reclaim their peace. The program includes live and pre-recorded lessons, worksheets, monthly group consulting calls, and access to a private community for additional support and integration.
4.2 What’s Included
When you enroll in THE UNBOTHERED COLLECTIVE, you’ll receive:

Monthly mastermind group calls (schedule provided after enrollment)

Downloadable worksheets and tools

Additional bonus material provided by Dr. Shiloh and any expert guest she may introduce
4.3 Access Duration
Participants will retain access to course materials for 12 months from the date of purchase. Live call replays will be available for a limited time (up to 30 days after each call).
4.4 Payment
By enrolling in THE UNBOTHERED COLLECTIVE, you agree to pay the monthly membership fee as stated at the time of purchase. This fee will be automatically charged on a recurring basis until you cancel your membership. Failure to process payment may result in suspension or termination of access to membership content, live events, and the private community. You may cancel at any time; however, no refunds will be issued for the current billing cycle once payment has been processed.
4.5 Intended Use
This program is for educational and informational purposes only. It is not a substitute for mental health treatment, therapy, or medical advice. Enrollment does not create a therapist-client relationship.
4.6 Intellectual Property
All content, including videos, worksheets, and call recordings, are the intellectual property of Dr. Shiloh Werkmeister, Dr. Shiloh Speaks, or Integrative Connections Couseling LLC. and are for your personal use only. Redistribution, reproduction, or sharing of any materials is strictly prohibited.
4.7 Participant Responsibility
Results depend on individual effort, application, and participation. While support and tools are provided, it is your responsibility to engage with the material and implement what is taught.
**5. Client’s Responsibilities**
5.1 Educational Purpose
The UNBOTHERED COLLECTIVE membership has been created for general educational and informational purposes only. It is designed to inspire and equip participants with tools for personal growth, mental wellness, and boundary-setting. The Company makes no guarantees that any specific outcomes or goals—personal, professional, or otherwise—will be achieved through participation in the Program.
5.2 Personal Responsibility
The Customer agrees and acknowledges that they are 100% responsible for their own results. While the Program offers guidance, tools, and support, it is the Customer's consistent effort, engagement, and application of the material that will ultimately influence outcomes. As with any educational investment, there are inherent risks, and no guarantees of specific results are made or implied.
5.3 Optimizing Results
To maximize the value and potential benefits of the Program, the Customer agrees to:

Complete all provided materials, including modules, worksheets, templates, and other resources;

Engage thoughtfully and respectfully in all Q&A sessions (if applicable);

Attend live coaching calls on time and participate fully when present;
-
Take full ownership of their progress and results throughout the Program.
5.4 No Passive Participation
The Program is not a passive experience. It requires active participation and a willingness to reflect, apply tools, and do the inner work. The Customer understands that their commitment directly impacts their experience and transformation within the Program.
**6. PAYMENT & FEES**
6.1 Program Fee
The total fee for THE UNBOTHERED COLLECTIVE is outlined at the time of purchase. You agree to pay the full amount whether you choose to pay in full or through a payment plan option, if available.
6.2 Payment Responsibility
The Unbothered Collective operates on a subscription basis. By joining, you authorize recurring charges based on your selected billing frequency (e.g., monthly or annually). Unlike fixed-term payment plans, this subscription can be canceled at any time through your account settings. However, missed or failed payments may result in paused or revoked access to membership content and community features until the issue is resolved. No partial refunds will be issued for failed or unused portions of a billing cycle.
6.3 Accepted Payment Methods
Payments are processed through a secure third-party payment processor. Accepted methods include major credit cards and any other options listed on the checkout page. We do not store or have access to your full payment information.
6.4 Late Payments
If a payment is not successfully processed, you will be notified and given a 3-day grace period to update your payment method. Continued failure to pay may result in access being suspended or permanently removed, and your account may be turned over to collections for the remaining balance.
6.5 Refund Policy
We offer a 14-day conditional refund policy. To qualify, you must show proof of participation—this includes completing the first two modules and associated worksheets. Refund requests must be submitted in writing to [email protected] within the 14-day window. No refunds will be granted after this period or without evidence of genuine effort.
6.6 Taxes
You are responsible for any applicable taxes related to your purchase. These will be clearly indicated at checkout where required by law.
**7. CANCELLATION POLICY**
You may cancel your subscription or any paid Service as a 30-day cancellation notice after 12 months of active payments for the Foundational Path by emailing us at [email protected]. You will not be prorated for any unused Services during the billing cycle in which you cancel your Services, and your Services will be active until the end of the then-current billing cycle.
**8. REFUND POLICY**
You may request cancellation and a full refund of your enrollment in the UNBOTHERED COLLECTIVE within 14 days of purchase, provided that you meet the conditions outlined below. To request a cancellation, please email [email protected] within the 14-day period.
To be eligible for a refund, you must demonstrate genuine participation in the program by completing the first two modules and submitting the corresponding worksheets. Refunds will not be granted for non-participation or change-of-mind reasons without demonstrated effort.
After the 14-day window, all sales are final, and no refunds will be issued. Access to the program materials will remain available for the duration specified at the time of purchase, regardless of continued participation.
9.1 Confidential Information & Non-Disclosure
The Company takes great pride in the proprietary content and intellectual property included in the UNBOTHERED COLLECTIVE. By enrolling in this program, the Customer agrees that all materials, strategies, frameworks, and communications shared are confidential and intended solely for the enrolled participant.
“Confidential Information” refers to, but is not limited to:

Any processes, systems, sequences, or steps shared by the Company or Coach;

Any information disclosed in connection with participation in the Program or this Agreement;
-
Any trade secrets or proprietary methods related to the Program or the Company’s business practices.
The Customer agrees not to disclose, reproduce, distribute, or share any of the Company’s Confidential Information with any third party without express written consent. This obligation remains in effect both during and after participation in the Program.
9.2 Testimonials and Public Sharing
The Company respects and protects the privacy of all participants. While personally identifiable information will never be shared without consent, the Customer agrees that the Company may use general, anonymized feedback or success statements as testimonials for marketing or promotional purposes. By agreeing to these Terms, the Customer grants permission for the Company to share their success stories, insights, or progress in any format or medium, unless otherwise requested in writing.
9.3 Non-Disparagement
The Customer agrees to refrain from making any statements—public or private, written or verbal—that could reasonably be interpreted as defamatory, slanderous, or damaging to the Company’s reputation, brand, services, or team members. This includes, but is not limited to, social media posts, online reviews, or communication with third parties that misrepresents or maligns the Company or its offerings. This obligation applies during and after participation in the Program.
**10. Intellectual Property & Limited License**
10.1 Ownership of Intellectual Property
All content within the UNBOTHERED COLLECTIVE, along with any related materials, is considered the exclusive intellectual property of the Company. This includes, but is not limited to:

Trademarks and service marks

Logos, business names, and program/module titles

Course design, layout, and structure

Written content, text, scripts, and outlines

Workbooks, PDFs, handouts, and templates
-
Videos, audio files, and podcast recordings
-
Any other proprietary tools, strategies, or resources provided through the Program
This content is collectively referred to as the “Intellectual Property,” and it is protected under copyright, trademark, and other applicable intellectual property laws.
10.2 Limited License
Upon purchase, the Customer is granted a limited, personal, non-exclusive, and non-transferable license to access and use the Program materials for their own personal development or internal business use (as applicable). This license does not grant any ownership or rights to reproduce, share, or distribute the content beyond the original purchaser.
The Customer agrees not to:

Copy, reproduce, or distribute any Program materials;
-
Modify, edit, or create derivative works based on the content;
-
Sell, share, or transmit any materials to others;
-
Use the content in group settings, coaching, courses, or business services without express written consent from the Company.
10.3 Restrictions for Industry Peers
If the Customer is a coach, therapist, course creator, or business owner in a related or similar industry, they agree not to use the Company’s Intellectual Property in any of the following ways:

Teaching the Company’s methods, tools, or frameworks as their own;

Incorporating the Company’s content into their own programs, services, or client materials;
-
Republishing, copying, selling, or distributing any portion of the Program or its materials for commercial gain;
-
Creating derivative works or adaptations of the content without prior written permission.
Any unauthorized use or misappropriation of the Company’s Intellectual Property will be considered a breach of this Agreement and may result in legal action.
**11. Indemnification & Limitation of Liability**
11.1 Assumption of Risk and Release of Liability
The Customer acknowledges that they are solely responsible for any decisions, actions, or results stemming from their participation in the UNBOTHERED COLLECTIVE and use of its associated materials. This includes—but is not limited to—decisions related to employment, relationships, business investments, mental health, or financial matters.
The Customer agrees that the Company shall not be held liable for any injuries, losses, damages, or consequences, whether physical, emotional, financial, or otherwise, that may result from the use or misuse of the Program content.
11.2 Indemnification
The Customer agrees to indemnify, defend, and hold harmless the Company, its owners, employees, affiliates, contractors, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including legal fees) that arise out of or relate to the Customer’s participation in the Program or violation of these Terms.
11.3 Third-Party Platform Disclaimer
Access to the UNBOTHERED COLLECTIVE is provided through a third-party platform (currently Kajabi). The Company is not responsible for any access interruptions, technical issues, or limitations caused by the Kajabi platform or any other third-party service provider.
**12. Miscellaneous**
12.1 Amendments
The Company reserves the right to amend this Agreement at any time. Any material changes will be communicated via email or platform notification. Continued participation in the Becoming Unbothered program after such changes constitutes acceptance of the updated terms.
12.2 Headings & Severability
Headings are provided for organizational purposes only and do not affect the interpretation of this Agreement. If any portion of this Agreement is found to be invalid or unenforceable, that portion shall be interpreted in accordance with applicable law in a manner that most closely reflects the original intent of the parties. The remaining provisions shall remain in full force and effect.
12.3 Entire Agreement
This Agreement represents the entire understanding between the Customer and the Company and supersedes all prior or contemporaneous communications, representations, or agreements—whether oral, written, or electronic—regarding the Program.
12.4 All Rights Reserved
All rights not expressly granted in this Agreement are reserved by the Company.
12.5 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to conflict of law provisions. By accessing or using THE UNBOTHERED COLLECTIVE, you consent to the exclusive jurisdiction and venue of the courts located in the State of Missouri for any legal action arising out of or relating to this Agreement.
12.6 Arbitration Clause
Any disputes or claims arising out of or relating to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Each party shall bear its own legal fees and costs.
12.7 Limitation of Liability
The maximum amount of damages recoverable by the Customer for any claim arising from or related to this Agreement or the Program shall not exceed the total amount paid by the Customer for the UNBOTHERED COLLECTIVE.
12.8 Agreement Execution
By selecting “I agree to the Terms & Conditions” at checkout and completing the first payment via the Kajabi platform, the Customer acknowledges acceptance of this Agreement in full. These terms shall become effective upon payment.
12.9 Acknowledgment
By enrolling in THE UNBOTHERED COLLECTIVE, you acknowledge that you have read, understood, and agreed to the terms and conditions outlined in this Agreement. Your participation in the program indicates your full acceptance of these terms.
